Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Compliance Approved platform, website, and related services (collectively, the “Service”) provided by Compliance Approved LLC (“Compliance Approved,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Account Terms
You must provide accurate, complete, and current information when creating an account. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
Organization administrators are responsible for managing user access within their organization, including adding and removing users, assigning roles, and ensuring that all users comply with these Terms. Each user must have a unique account; shared or generic accounts are not permitted.
2. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to store, transmit, or process any content that violates applicable laws or regulations, infringes third-party intellectual property rights, or contains malicious code. 3. API Terms
If you access the Service through our application programming interface (“API”), the following additional terms apply:
- API access is subject to rate limits as documented in our API documentation. Excessive or abusive API usage may result in temporary or permanent suspension of API access.
- API keys and authentication tokens are confidential and must not be shared, published, or embedded in client-side code.
- We reserve the right to modify the API with reasonable notice. We will endeavor to maintain backward compatibility where possible and provide migration guidance for breaking changes.
- You may not use the API to build a competing product or service, or to systematically extract data for purposes unrelated to your authorized use of the Service.
4. Payment Terms
Paid subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.
We may change our fees upon thirty (30) days' prior written notice. Fee changes will take effect at the start of your next billing cycle following the notice period. If you do not agree to the fee change, you may cancel your subscription before the new fees take effect.
Overdue payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. We reserve the right to suspend access to the Service for accounts with payments overdue by more than fifteen (15) days.
5. Cancellation and Termination
You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, your access to the Service will continue until the end of your current billing period. We do not provide prorated refunds for partial billing periods.
Upon termination, you will have thirty (30) days to export your data from the Service. After this period, we may delete your data in accordance with our data retention policies. We will provide reasonable assistance with data export upon request.
We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms, fail to pay fees when due, or if we reasonably believe your use poses a security risk to the Service or other users.
6. Intellectual Property
The Service, including all software, content, designs, and documentation, is the intellectual property of Compliance Approved and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
You retain all rights to the data, documents, and content you upload to or create within the Service (“Customer Data”). You grant us a limited license to use, process, and store Customer Data solely to provide and improve the Service. We will not access Customer Data except as necessary to provide the Service, respond to support requests, or as required by law.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPLIANCE APPROVED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
The Service provides compliance management tools and AI-assisted analysis but does not constitute legal, regulatory, or compliance advice. You are solely responsible for your firm's compliance with applicable laws and regulations. The use of AI features does not guarantee regulatory compliance and should not be relied upon as a substitute for qualified legal counsel.
8. Indemnification
You agree to indemnify, defend, and hold harmless Compliance Approved and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, for active subscribers, by email at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes.
